Disable ALL antivirus components, Web Trap component of PC-cillin, Surfin Guard Pro, download accelerators/enhancements, Download Accelerator Plus, spyware applications and anything unusual installed.
Third-Party Products That Conflict with Windows Update, this is NOT a complete list, but it gives you an idea what to look for.

Windows 98/ME
Windows Update says I need to be an Administrator. I am using Windows 98/ME and I don't have an Administrator.

1.  If you log on to Windows and hit "Cancel":

2.  Try this if the above fails:
WINUP: "Software Update Incomplete, This Windows Update Software Did Not Update Successfully" Error Message When You Visit the Windows Update Web Site

3.  "Windows Update Was Disabled by Your System Administrator" Error Message

4.  WINUP Err Msg: Windows Update Was Disabled by Your System Administrator

5.  "Administrators Only" Error Message When You Attempt to Use the Windows Update Site

6.  Otherwise follow the Windows Update Checklist

 

Windows XP/Server 2003

1.  "Administrators Only" Error Message When You Attempt to Use the Windows Update Site

2.  "Windows Update Was Disabled by Your System Administrator" Error Message

3.  Otherwise follow the Windows Update Checklist
