This is the last Will and Testament of me John Payne of Birmingham in the County of Warwick Pearl Button Maker. In the first place I will and direct that my Executors hereinafter named shall and will as soon as conveniently may be after my decease duly pay and discharge from and out of my personal estate hereinafter mentioned all my just debts, funeral expenses, the charges of proving this my will and the Legacy hereinafter bequeathed.
I give and bequeath unto my daughter Mary Ann Clarke the sum of ten pounds to be paid to her by my wife Sarah Payne immediately after my decease. And I further give and bequeath all and singular my leasehold messuages, tenements or dwelling houses, shops outbuildings, land and premises situate in Hospital Street and Little Hampton Street in Birmingham or elsewhere and also all my goods, chattels, household furniture, debts, monies, securities for money and all other my Personal Estate and Effects of what nature or kind soever the same may be unto and for the absolute use and benefit of my said wife Sarah Payne for and during the term of her natural life. And from and after that state then I give and devise and bequeath all and singular my leasehold property, household furniture, goods, chattels, debts, monies and securities for money and all other my estate and effects whatsoever and wheresoever and of what nature or kind soever the same may be unto my said son John Payne and Paul Birch their executors admons and assigns Upon Trust that they the said John Payne and Paul Birch or the survivor of them or the executors, admons or assigns of such survivor do and shall with all convenient speed after the decease of my said wife provided my youngest child shall have attained the age of twenty one years sell & dispose of all and singular my said leasehold property, household furniture, goods, chattels and personal estate either by public Auction or private contract and for the best price or prices which can or may be had or obtained for the same and the receipt or receipts of them or him for all monies received for the sale of such property under and by virtue of this my will shall be a good and sufficient discharge and discharges to all persons for such sum or sums of money as shall be therein expressed or acknowledged to be received. And upon further trust to pay and divide or retain the monies which shall arise from such sale or sales or which shall in any way come into the possession of the said John Payne and Paul Birch or the survivor of them or the executors, admons or assigns of such survivor under this my will unto between and among the said John Payne and William Payne and my daughters Sarah Payne and Eliza Payne if they shall be all then living in equal proportions share and share alike and if any or either of them my said children shall happen to die having lawful issue before the respective share or shares of them so dying shall
become payable as aforesaid then upon trust to pay and divide and I do give and bequeath the share or shares of him, her or them so dying as aforesaid unto and amongst all and every the child or children of him her or them so dying as aforesaid which shall be living at the time when the said trust monies shall become payable in equal shares and proportions share and share alike when & as soon as such child or children shall attain his, her or their respective age or ages of twenty one years and if one or more of my said children John Payne, William Payne, Sarah Payne & Eliza Payne shall happen to die before the said trust monies shall become payable and without having issue the upon trust to pay, apply or divide the share or shares of him, her or them so dying without issue unto or amongst the survivor or survivors of my said children in equal shares and proportions. And my will and desire further is and I do hereby direct that the parts shares or proportion of them my said sons John Payne and William Payne of and in the said trust property shall be charged & chargeable with all sum or sums of money or other property of which I may have given or advanced to my said Sons or either of them before the time of my decease provided always. And it is my will that neither of the said Trustees their executors or admons shall be answerable for any more money than what they shall respectively receive by virtue of the Trusts aforesaid nor shall either of them be charged or chargeable with or accountable for the receipt or receipts of the other of them but each of them for his own acts, receipts and willful defaults only.
And lastly I do hereby revoke all former and other Wills by me at any time heretofore made and do nominate, constitute and appoint my said wife Sarah Payne sole Executrix of this my Will during the term of her natural life and from and after her decease I do further nominate, constitute and appoint my said son John Payne and Paul Birch of Birmingham in the County of Warwick Gilt Toy Maker Executors of this my last Will and Testament. Whereas in and by my said Will I have given and bequeathed unto my dear wife Sarah Payne for and during the term of her natural life and from and immediately after her decease to my son John Payne and Paul Birch of Birmingham aforesaid Gilt Toy Maker certain leasehold heredits and premises and also divers sums of money and other personal estate in my said Will mentioned upon the several Trusts and purposes and with the powers and authorities in my said Will mentioned, expressed and declared of and concerning
the same respectively and appointed my said wife Sarah Payne Executrix of my said Will for and during the term of her natural life and from and after her decease my said son John Payne and Paul Birch Executors thereof and I gave and bequeathed to my daughter Mary Ann Clarke therein mentioned the sum of ten pounds to be paid to her immediately after my decease.And whereas I am desirous of revoking the appointment of the said Paul Birch as one of the Trustees and Executors of my said Will. And also the legacy of ten pounds so given and bequeathed to her the said Mary Ann Clarke in and by my said Will mentioned as aforesaid. Now therefore I do hereby absolutely revoke, annul and make void the appointment of the said Paul Birch as one of the Trustees and Executors of my said Will and all the trusts powers and authorities therein given to him but in his place and stead I hereby nominate, constitute and appoint my son William Payne to be a Trustee and Executor of my said Will and this my Codicil jointly with my said son John Payne and have all the powers and authorities as fully and effectually as my said son John Payne may have to act in the trusts thereof. And I do hereby also revoke, annul and make void the said Legacy of ten pounds given to the said Mary Ann Clarke in and by my said Will but I do hereby give and bequeath to her in lieu thereof the sum of five pounds to be paid to her by my Executrix and Executors or one of them as soon as can be after my decease and the other or remaining sum of five pounds so given to her by my said Will it is my wish shall sink and go into and go along with and be considered a part of the residuum of my personal estate and be enjoyed as such accordingly by the parties entitled thereto and mentioned therein.
And my will further is and I do hereby direct that all the personal estate given and bequeathed to my said wife Sarah Payne and my said son John Payne and Paul Birch their executors, admons and assigns in and by my said Will by way of Trust and not beneficially shall upon my decease rest and remain in my said wife Sarah Payne for during the term of her natural life and from and after her decease in my said sons John Payne and William Payne only their executors, admons and assigns upon the several trusts and purposes in my said Will mentioned of and concerning the same respectively and that all the trusts, powers and authorities therein given to my said wife Sarah Payne and my said son John Payne and Paul Birch their executors, admons and assigns shall and may be exercised & performed by my said wife Sarah Payne and my said sons John Payne and William Payne alone their executors, admons and assigns as fully and effectually to all intents and purposes whatsoever as if they had been originally appointed Trustees and Executors of my said Will without the said Paul Birch.
